Affiliate Policy

The standards that apply to anyone promoting PrimeKeys in return for commission or another benefit.

1. Scope, parties, and acceptance

This policy is issued by Prime Keys, the legal operator of the PrimeKeys storefront. It applies to affiliates, creators, publishers, communities, agencies, and any person who uses a PrimeKeys referral link, code, tracking identifier, or paid promotional arrangement. By participating, you agree to this policy, the relevant Komerza affiliate terms, and applicable advertising, consumer, privacy, tax, and anti-spam laws.

2. Approval and account responsibility

Participation is subject to approval and may be refused or withdrawn. You must provide accurate details, protect access to your affiliate account, and remain responsible for anyone acting for you. Sub-affiliates, agencies, or contractors may be used only where allowed and must follow the same rules.

3. Clear advertising disclosure

Every affiliate promotion must be obviously identifiable as advertising before or at the moment a person engages with it. Use a clear, prominent label such as “Ad” or “Advertisement”. The label must not be hidden after a “more” button, buried among hashtags, placed only in a profile, or expressed with ambiguous wording such as “Aff”. Disclose both commission and free products or other incentives where relevant.

Disclosures must be suitable for the format. Spoken promotions should include an audible disclosure. Video and livestream promotions should display a clear disclosure long enough to be noticed. Links in a message, page, post, or description must not make the commercial relationship difficult to understand.

4. Accurate claims

You may use current claims and materials supplied or approved by PrimeKeys. You must not make false, unsubstantiated, or misleading claims about price, stock, scarcity, compatibility, performance, delivery, security, refunds, legality, earnings, or customer results. Do not present personal opinion as verified fact or omit a limitation that would change a customer's decision.

5. Prohibited promotion methods

  • Spam, unsolicited bulk messages, bought contact lists, or communications that breach consent and opt-out rules.
  • Cookie stuffing, forced clicks, invisible frames, misleading redirects, adware, malware, or automatic referral placement.
  • Self-referrals, fabricated orders, collusion, stolen payment methods, refund abuse, or other commission manipulation.
  • Impersonating PrimeKeys, Komerza, a product developer, or customer support.
  • Registering confusing domains, social handles, or paid search ads using PrimeKeys or product trademarks without written approval.
  • Publishing licence keys, confidential material, private customer information, or content that is unlawful, hateful, sexually exploitative, or deceptive.
  • Offering an unauthorised rebate, discount, giveaway, or incentive that changes the advertised price or customer expectation.

6. Links, tracking, and privacy

Use only referral links or codes assigned through an approved system. Do not alter tracking to misrepresent the source of a sale. Where affiliate cookies or similar identifiers require consent, you must obtain valid consent before they are set. Any personal information you collect must have a lawful basis, a clear privacy notice, appropriate security, limited retention, and a way for people to exercise their rights.

7. Commission and validation

Commission rates, attribution windows, eligible products, payment thresholds, and payment schedules are the rates shown in the applicable Komerza dashboard or a separate written agreement. A tracked event is not final until the order is paid, valid, outside applicable review periods, and not refunded, reversed, charged back, fraudulent, duplicated, or self-referred.

PrimeKeys may withhold, reverse, or offset commission connected to an ineligible transaction. Material calculation disputes should be raised promptly with the order or referral evidence needed to investigate.

8. Taxes and expenses

Affiliates are independent parties, not employees, workers, partners, or agents of PrimeKeys. You are responsible for your own taxes, registrations, insurance, expenses, and legal obligations. You have no authority to make commitments, warranties, refunds, or representations on behalf of PrimeKeys.

9. Brand and intellectual property

Approved brand assets may be used only to promote PrimeKeys during active participation and in accordance with supplied guidance. Do not modify marks in a misleading way, imply endorsement beyond the affiliate relationship, or use third party intellectual property without permission. Permission ends when participation ends.

10. Monitoring and records

You should keep copies of promotions and disclosures for a reasonable period. PrimeKeys may request examples needed to check compliance, investigate complaints, or respond to a regulator. Both PrimeKeys and the affiliate may be responsible for non-compliant advertising, so issues must be corrected or removed promptly.

11. Suspension and termination

Participation may be suspended while suspected fraud, misleading advertising, privacy violations, or other serious breaches are investigated. It may be terminated for breach, legal or reputational risk, inactivity, programme closure, or another reason permitted by the applicable agreement. Valid commission earned before termination will be handled under the dashboard terms, subject to reversals and legal rights. Provisions on confidentiality, intellectual property, accrued payment rights, audit, liability, and disputes survive where their nature requires it.

12. Confidentiality

Non-public commission rates, customer information, security details, unreleased products, credentials, and business information disclosed for the programme must be kept confidential and used only for authorised participation. This duty does not cover information lawfully public, independently developed, already known without restriction, or required to be disclosed by law after giving notice where legally permitted.

13. Compliance responsibility and indemnity

Each affiliate controls its own channels and is responsible for its promotions, disclosures, permissions, taxes, and legal compliance. To the extent permitted by law, an affiliate must reimburse Prime Keys for direct losses, regulatory charges, and reasonable costs caused by that affiliate's fraud, deliberate misconduct, unauthorised claims, infringement, unlawful messaging, or material breach. This does not make the affiliate responsible for conduct caused solely by Prime Keys.

14. Liability

Nothing excludes liability that cannot lawfully be excluded. Subject to that, neither party is liable to the other for indirect or unforeseeable loss. Prime Keys does not guarantee traffic, conversion, revenue, programme availability, or a minimum commission. Any monetary cap or different allocation stated in a signed affiliate agreement or Komerza programme terms takes priority for that programme.

15. Changes to the programme

Prime Keys may change products, rates, attribution rules, eligibility, or this policy prospectively. Material changes should be communicated through the dashboard, email, or another reasonable channel before taking effect where practicable. Confirmed commission already earned will not be removed solely because a later rate changes, subject to fraud, refunds, reversals, and the programme terms.

16. Governing law and disputes

Mandatory laws that apply to either party remain unaffected. Subject to them, this policy is governed by the laws of England and Wales and the courts with lawful jurisdiction may hear disputes. Raise a commission or compliance dispute first at [email protected] with the evidence needed to investigate.

17. Contact
